Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Quadropic Private Limited ("Quadropic," "we," "us," or "our") for access to and use of Syntheo, including the getsyntheo.com website, downloads, beta software, release pages, documentation, support channels, and related services (collectively, the "Service").

By accessing or using the Service, downloading Syntheo, joining the waitlist, or clicking to accept these Terms, you agree to be bound by them. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You must be able to form a legally binding contract to use the Service. The Service is intended for professional and technical users. It is not intended for children under 13, or under a higher age where local law requires parental or guardian consent.

Syntheo is a local-first AI developer workspace intended to help users work across files, terminal sessions, browsers, code, tasks, and related development workflows. The Service may include websites, documentation, installers, software updates, AI features, integrations, waitlist access, and support.

We may add, change, suspend, or discontinue features at any time. Some features may depend on third-party platforms, model providers, network access, local system permissions, or tools that you configure.

Syntheo may be offered as beta, preview, experimental, or pre-release software. Beta features may be incomplete, unstable, unavailable, changed without notice, or contain errors. You should not rely on beta features for critical production workflows without your own review, backups, monitoring, and rollback plan.

We may limit or revoke beta access at any time. Feedback you provide about beta features may be used by Quadropic without restriction or compensation to you.

Subject to these Terms, Quadropic grants you a limited, revocable, non-exclusive, non-transferable license to install and use Syntheo for your internal development purposes during the period we make it available to you.

You may not, except where applicable law prohibits these restrictions:

• copy, sell, rent, lease, sublicense, host, or distribute the software;
• reverse engineer, decompile, disassemble, or attempt to extract source code;
• remove proprietary notices, license files, or attribution notices;
• use the Service to build a competing product through unauthorized copying;
• bypass usage limits, access controls, security measures, or licensing controls;
• use the Service in violation of law or third-party rights.

You retain ownership of your code, files, prompts, inputs, outputs, repositories, and other content that you provide to or process through the Service ("Your Content"). These Terms do not transfer ownership of Your Content to Quadropic.

You grant Quadropic the limited rights needed to operate, provide, secure, support, troubleshoot, and improve the Service, including processing Your Content when you choose to use features that require such processing. You represent that you have the rights and permissions needed to use Your Content with the Service and any third-party services you connect.

Do not submit secrets, credentials, private keys, regulated data, or confidential third-party information unless you have confirmed that the relevant feature, settings, provider terms, and your own policies allow it.

AI features may produce incorrect, incomplete, insecure, biased, or unexpected results. You are responsible for reviewing, testing, and validating all outputs before relying on them, especially code, commands, migrations, security-sensitive changes, legal content, financial content, medical content, or other high-impact decisions.

You are responsible for your prompts, context, files, connected tools, actions you authorize, and decisions you make using outputs. We do not guarantee that outputs are unique, non-infringing, accurate, or fit for a particular purpose.

The Service may link to or interoperate with third-party services such as hosting providers, Git platforms, package managers, AI model providers, browser tools, identity providers, analytics providers, documentation sites, and payment providers. Your use of third-party services is governed by their terms and policies. Quadropic is not responsible for third-party services, content, availability, security, or data practices.

Some features may require an account, invite, license key, email address, or third-party login. You must provide accurate information and keep account credentials secure. You are responsible for activity under your account or credentials.

If you join the waitlist or request updates, we may contact you about Syntheo, beta access, releases, support, and related Quadropic products. You may opt out of marketing emails as described in our Privacy Policy, but we may still send transactional or service-related messages.

You may not use the Service to:

• violate laws, regulations, sanctions, export controls, or third-party rights;
• develop, distribute, or operate malware, phishing, credential theft, spam, or abusive automation;
• attempt unauthorized access to systems, networks, accounts, models, or data;
• interfere with, overload, scan, scrape, disrupt, or degrade the Service;
• upload or transmit content that is unlawful, infringing, deceptive, harmful, or abusive;
• misrepresent affiliation with Quadropic or Syntheo;
• use outputs or features for high-risk decisions without appropriate human review and safeguards.

If we make paid plans, licenses, subscriptions, or enterprise offerings available, pricing, taxes, renewal terms, cancellation terms, and any additional order terms will be disclosed at purchase or in a separate agreement. Additional terms may apply to enterprise, evaluation, or private beta access.

The Service, including software, websites, designs, logos, trademarks, documentation, workflows, and other materials, is owned by Quadropic or its licensors and is protected by intellectual property and other laws. No rights are granted except as expressly stated in these Terms.

If you provide ideas, comments, bug reports, suggestions, or other feedback, you grant Quadropic a perpetual, worldwide, irrevocable, sublicensable, transferable, royalty-free license to use it for any purpose without restriction or compensation.

Our Privacy Policy explains how we collect, use, disclose, and protect information. By using the Service, you acknowledge the Privacy Policy.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, or uninterrupted operation. You use the Service at your own risk.

To the maximum extent permitted by law, Quadropic and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, code, business opportunities, or business interruption. To the maximum extent permitted by law, Quadropic's total liability for all claims related to the Service will not exceed the greater of INR 10,000 or the amount you paid Quadropic for the Service in the three months before the event giving rise to the claim.

To the extent permitted by law, you will indemnify and hold harmless Quadropic and its affiliates, directors, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, Your Content, your violation of these Terms, or your violation of law or third-party rights.

We may suspend or terminate access to the Service at any time if we believe you have violated these Terms, created risk or legal exposure, misused the Service, or if continued access is no longer commercially or technically feasible. You may stop using the Service at any time. Terms that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and governing law.

These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to any mandatory rights you may have under local law, disputes will be resolved by courts of competent jurisdiction in India.

We may update these Terms from time to time. If we make material changes, we will update the date above and provide additional notice where required. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
