Syntheo Terms of Service

Provider: Quadropic Pvt Ltd ("Quadropic," "we," "us," or "our")

These Terms of Service (the "Terms") govern access to and use of Syntheo, including its desktop application, companion application, documentation, updates, and related services (collectively, the "Service"). By installing, accessing, or using the Service, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the Service.

If you have a separate written agreement with Quadropic for the Service, that agreement controls if it conflicts with these Terms.

1. Eligibility and account responsibility#

You must be legally able to enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization. You are responsible for activity performed through your devices, accounts, credentials, provider connections, and configured integrations. Keep credentials secure and promptly revoke or rotate any credential you believe has been compromised.

2. License and permitted use#

Subject to these Terms and any applicable commercial agreement, Quadropic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Service for your authorized internal or commercial purposes during the applicable subscription or license term.

The Service is licensed, not sold. Quadropic and its licensors retain all rights, title, and interest in and to the Service, including all intellectual-property rights.

3. Restrictions#

Except as expressly permitted by law or an applicable written agreement, you must not:

  • copy, modify, distribute, sell, lease, sublicense, or make the Service available to third parties;
  • reverse engineer, decompile, disassemble, or attempt to discover the source code, models, or underlying ideas of the Service;
  • remove or alter proprietary, copyright, trademark, or confidentiality notices;
  • use the Service to develop, train, benchmark, market, or provide a competing product or service;
  • interfere with, disrupt, probe, or circumvent the Service's security, access controls, rate limits, or technical restrictions;
  • use the Service unlawfully or to create, upload, process, or distribute material that infringes rights, violates privacy, contains malware, or is otherwise harmful; or
  • permit an unauthorized person to access or use the Service.

4. Your content and third-party services#

You retain ownership of prompts, files, code, credentials, instructions, outputs, and other content you provide to or generate through the Service ("Your Content"), subject to the rights you grant to the applicable third-party service providers.

You are responsible for Your Content, including obtaining all required rights, permissions, notices, and consents before providing it to the Service. Do not provide secrets, personal data, regulated data, or confidential information unless you have evaluated the applicable controls and the terms of every recipient that may process it.

Syntheo can connect to AI providers, model endpoints, MCP servers, websites, source-control services, and other third-party services selected or configured by you. Their availability, security, terms, privacy practices, retention, and use of data are governed by their own terms, not these Terms. You are responsible for your choices and configurations, including the tools and permissions you approve.

5. AI-generated output#

The Service may generate output that is inaccurate, incomplete, insecure, non-unique, or unsuitable for your intended use. You must independently review, test, validate, and approve all output before relying on it or deploying it. The Service is not a substitute for professional judgment, including legal, medical, financial, security, or compliance advice.

You are responsible for your use of output and for complying with applicable laws, licenses, and third-party rights.

6. Updates, availability, and changes#

We may update, modify, suspend, or discontinue all or part of the Service, including features, integrations, or supported platforms. We may also update these Terms. Updated Terms are effective when posted or otherwise made available. Your continued use after the effective date means that you accept the updated Terms.

7. Confidentiality#

The Service, its source code, non-public documentation, and related materials are Quadropic confidential information. You must protect them with at least reasonable care and use them only as authorized by these Terms and any applicable written agreement.

8. Disclaimer of warranties#

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." QUADROPIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of liability#

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUADROPIC AND ITS LICENSORS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Any liability not excluded above is limited to the amount paid to Quadropic for the Service in the twelve months before the event giving rise to the claim.

10. Termination#

These Terms remain in effect until terminated. Your right to use the Service ends automatically if you breach these Terms or any applicable commercial agreement. On termination, you must stop using the Service and, on request, delete or return Quadropic confidential materials in your possession, except where retention is required by law.

11. General#

You may not assign or transfer these Terms without Quadropic's prior written consent. If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, or joint venture.
